The terms between your block and Resident Led.

What we provide, what the block owns, how paying and leaving work, and what we are responsible for. The short version comes first; each point links to its clause.

Version 1.2In force from 20 October 2026Changes to these terms
The short version
  • The agreement is between the block’s company and Instig8 Ltd, which makes Resident Led. Clause 1.
  • The record belongs to the block. Any director can export all of it, at any time, free. Clause 5.
  • Cancel from settings whenever you like; the record stays available to export for 90 days. Clause 8.
  • Packs are paid up front, and refunded in full until we send the first notice. Clause 7.
  • We cite the law; the directors make the decisions. Clause 9.
  • We never hold the block’s money. Clause 10.

1. Who this agreement is between

Link to 1

1.1These terms are between Resident Led, a product from Instig8 Ltd (“we”), company number 11213906, registered in England and Wales at Bartle House, 9 Oxford Court, Manchester, M2 3WQ, and the company that runs your block (“the block”), such as a residents’ management company or an RTM company. Resident Led is the name of the product; Instig8 Ltd is the company you contract with.

1.2The block is our customer. The director who accepts these terms confirms that the board has agreed to it, or will ratify it at its next meeting.

2. Words we use

Link to 2

2.1“Directors” means the block’s directors and company secretary who have an account. “The record” means everything the block puts into Resident Led or that Resident Led produces for it: demands, the ledger, documents, the calendar, Section 20 files and exports. “Leaseholders” means the people the block sends demands to.

3. What we provide

Link to 3

3.1The subscription: the statutory calendar, demands and the ledger, the Section 20 file, the six-year record, the leaseholder portal, the accountant’s pack and export, as described on the How it works page when you subscribe. Every feature is in every plan; plans differ only by the number of flats.

3.2One-off packs: the Section 20 pack and the RTM claim pack, described in clause 7. The free tools stay free and are covered by the privacy notice rather than by these terms.

3.3We expect the software to open in early 2027. The parts of these terms about the subscription apply from the day a block subscribes: clauses 3.1, 4, 5.2, 6.1 and 6.2 (except for paying for a pack), 8, the first sentence of 12.1, and the short version’s point on cancelling. The Schedule applies to the details a block sends for a pack from the day it buys the pack, with the 90 days it refers to counted from the end of the pack, and to everything else from the day it subscribes.

4. Directors and access

Link to 4

4.1Any director can invite the other directors. Directors decide what each person can see and do, and what leaseholders see in the portal. When a director leaves the board, another director removes their access; the record stays with the block.

4.2Each director keeps their own sign-in private. Tell us straight away at hello@residentled.com if you think someone else has used it.

5. The record belongs to the block

Link to 5

5.1The block owns the record. We hold it for the block, and use it only to provide Resident Led to the block, to keep it secure, and as the law requires.

5.2Any director can export the whole record at any time, with no notice period and no charge, in formats others can open: PDF, CSV, calendar files and a zip of the documents. Exporting does not cancel the subscription.

6. Prices and payment

Link to 6

6.1The price is per block, set by the number of flats, as shown on the Pricing page when you subscribe: monthly, or yearly with two months free. We are not registered for VAT, so no VAT is added. Payment is by card or Direct Debit through Stripe, and invoices are addressed to the block. A pack can also be paid by bank transfer against an invoice.

6.2We will give at least 30 days’ notice by email before a price changes, and a yearly plan keeps its price until renewal.

6.3The founding price. A block whose director joins the early-access list before the software opens can take the founding price: 35% off the yearly price on the day the block subscribes, for the block’s first year, rounded down to the pound, then the yearly price shown on the Pricing page, which can change only as clause 6.2 sets out. It is for the yearly plan only and for one subscription per block, and is held for 30 days from the email that says the software is open. Joining the list commits the block to nothing. We hold the founding price for any block that subscribes within those 30 days. Blocks over 50 flats agree their price with us.

7. One-off packs

Link to 7

7.1The Section 20 pack covers one consultation for one set of works. The RTM claim pack covers one claim for one building. Each is paid for up front and includes what its page lists on the day you buy it.

7.2We prepare the notices and the timeline and keep the file. The block signs and serves the notices, because the law puts that duty on the block, and decides what to do with the observations and estimates.

7.3If the block changes its mind before we send the first notice, we refund the pack in full. After that, the pack is the block’s to finish and is not refunded.

8. Cancelling and leaving

Link to 8

8.1Any director can cancel from the settings page. A monthly plan ends at the end of the month already paid for; a yearly plan runs to the end of the year already paid for.

8.2After cancelling, the record stays available to export for 90 days. Then we delete it, apart from what the law requires us to keep about the contract itself, such as invoices.

9. The law and legal advice

Link to 9

9.1Resident Led applies the law as written and shows the section it relies on. It is not legal advice, and we are not solicitors. The directors stay responsible for the block’s duties and for the decisions they make; if a matter is disputed or unusual, take legal advice.

9.2We keep the rules up to date as the law changes, and we say on the page when a rule depends on regulations that have not yet been made.

10. The block’s money stays with the block

Link to 10

10.1Resident Led does not take payments from leaseholders or hold service-charge money. Demands carry the block’s own bank details, and the block’s bank account stays under its directors’ control.

11. Personal data

Link to 11

11.1For the leaseholders’ personal data in the record, including the list given to us for a pack, the block is the controller and we act as its processor, on the terms in the schedule at the end of these terms. Each block’s data is kept separate. The privacy notice covers the website and the free tools.

12. Keeping Resident Led running

Link to 12

12.1We aim to keep Resident Led available at all times, apart from planned maintenance we announce in advance. Questions go to hello@residentled.com, and we reply within two working days.

13. Our liability

Link to 13

13.1If we fail to do what these terms say, our total liability to the block is limited to the fees the block paid us in the 12 months before the claim. We are not liable for losses that were not foreseeable when the agreement was made.

13.2Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited.

14. Changes to these terms

Link to 14

14.1We will email every director at least 30 days before a change takes effect and list it at the foot of this page. If the block does not accept a change, it can cancel before the change takes effect under clause 8.

15. The law that applies

Link to 15

15.1These terms are governed by the law of England and Wales, and the courts of England and Wales deal with any dispute. Write to us first; most things are settled by a reply.

Schedule

Processing personal data for the block

The terms UK GDPR Article 28 requires between the block, as controller, and Instig8 Ltd, as processor.

Subject and duration. Providing Resident Led to the block, for as long as the block subscribes or a pack is running, and for the 90 days after that in clause 8.2.

Nature and purpose. We store, organise and display this data, use it to prepare the block’s demands, notices and records, and send emails for the block, so that the block can run its service charges, consultations and records.

What we process. Leaseholders’ names, addresses, contact details, flats, amounts demanded and paid, their requests, and their consent to digital delivery; and directors’ names and contact details. The people concerned are the block’s leaseholders, its directors, and anyone named in documents the block uploads.

The block’s part. The block decides what data goes in and why. It makes sure it has a lawful basis for giving it to us and tells the leaseholders how their data is used. It can instruct us, object to a new sub-processor, check that we meet this schedule, and have the data returned or deleted.

Instructions. We process this data only to provide Resident Led, on the block’s documented instructions, which these terms and the directors’ use of the product are, unless the law requires otherwise. If the law requires us to process it in another way, we tell the block first, unless the law forbids that. If we think an instruction breaks data protection law, we tell the block straight away.

Confidentiality and security. Everyone at Instig8 Ltd with access is bound to keep it confidential. We take the measures UK GDPR Article 32 requires: data is encrypted in transit and at rest, each block’s data is kept separate, and backups mean the data can be restored after an incident.

Sub-processors. The block authorises us to use the sub-processors below. We tell the directors at least 30 days before adding or replacing one, so the block can object. Each one is bound by a written contract with the same data protection duties as this schedule, and we remain responsible to the block for what they do. Where one is outside the UK, the transfer relies on UK adequacy regulations or the UK International Data Transfer Addendum.

Helping the block. We help the block answer leaseholders’ requests to exercise their rights, and tell the block without undue delay, and within 48 hours, if we become aware of a personal data breach affecting its data. We also help the block keep the data secure, tell the ICO and leaseholders about a breach where that is needed, and carry out a data protection impact assessment, or consult the ICO, if one is required.

At the end. After the 90 days in clause 8.2 we delete the data, or sooner if a director asks, unless the law requires us to keep it. Copies in backups are deleted as those backups expire. The export in clause 5.2 is how the block takes a copy.

Checking. We give the block the information it needs to show that these terms are met, and allow and contribute to audits and inspections by the block, or by an auditor it appoints, on reasonable notice.
