Companies House for management companies: filing, and verifying every director.
What a residents’ management company has to file, when, and how each director verifies their identity in time for the next confirmation statement.
Check who still needs to verify
Run the block health check with the company number. It lists every officer and whether the register shows them as verified.
CA 2006 s.1110A (opens in new tab), inserted by ECCTA 2023 (opens in new tab)Each director verifies on GOV.UK
Verification belongs to the director, and one verification covers every company they are a director of. Each director verifies for free with GOV.UK One Login, in one of three ways: the GOV.UK One Login app with photo ID (a passport with a chip, a UK photocard driving licence, or a UK biometric residence permit or card); online with UK bank details and security questions; or in person at a Post Office. A director can also verify through an authorised agent, such as an accountant, who may charge.
GOV.UK, Verify your identity for Companies House (opens in new tab)Keep the personal code
Companies House issues each verified person a personal code. It belongs to the person and works for every company they are a director of. Keep it safe. Whoever files the company’s next confirmation statement will need each director’s code.
GOV.UK, Companies House personal codes for identity verification (opens in new tab)Connect the code when the company next files
The company gives each director’s code when it files its next confirmation statement. Until every director has one, the statement cannot be filed.
CA 2006 s.853A (opens in new tab); SI 2025/1118 reg 4 (opens in new tab)Put the dates on the calendar
The deadline is the company’s next confirmation statement. Each director’s code goes in with it, and that stays true after the transition ends in mid-November 2026. Miss it and Companies House says it will act, from filing restrictions to penalties. If the company’s confirmation statement was already overdue on 18 November 2025, a director who has not verified has been barred from acting as one since the end of 2 December 2025. Verify now, and file the overdue statement with the code.

The registered email address
Every company must keep a registered email address with Companies House at all times. It must be one where emails from Companies House would be expected to reach a person acting for the company. Companies House uses it to contact the company, and it is not on the public register.
The duty began on 4 March 2024. A company formed before then had to give its address with its first confirmation statement dated after that day, and if that statement has not been filed, the address goes in with it. After that, each confirmation statement is the time to check the address. If it no longer reaches a person acting for the company, the company gives Companies House a new one with the statement. It can change the address at any other time too.
If the company does not keep an address that works, and has no reasonable excuse, the company and every officer in default commit an offence. In England and Wales the penalty is a fine.

A residents’ management company that stops filing can be struck off, and a dissolved company’s freehold passes to the Crown. Service-charge money is held on trust, so it sits outside that. A former director, or a leaseholder through the court, can apply to restore the company within six years of the date it was dissolved. A leaseholder can also ask the court to appoint a new trustee for the money. Buying the freehold back costs at least £1,000 plus fees. Verifying through GOV.UK is free.
